On Oct. 1, Corteva completed the spinoff of its seeds business, which will be a publicly traded company named Vylor.

Why it matters: Vylor generated the majority of profits when it was a part of Corteva, so Corteva's profile will change following the divestiture. Now, Corteva is a crop protection pure-play business. Since being spun off from DowDuPont in 2019, Corteva has built a strong portfolio of patented and differentiated products. Corteva has gone from 10% of sales from patented products in 2017 to 65% of sales from patented and differentiated products this year. We expect Corteva will continue to focus on the development of new, patented products with a focus on new molecules that can help farmers deal with weeds, insects, and fungi that have developed resistance to traditional crop protection products.

The bottom line: Our fair value estimate for Corteva is $20 per share. We lower our Morningstar Economic Moat Rating to narrow from wide as Corteva is a crop protection pure-play, where the useful patent life tends to be 10 years, versus 20 for seeds. We plan to initiate coverage of Vylor in the near future. We raise our Morningstar Uncertainty Rating to High from Medium as the crop protection industry is more cyclical than seeds, so we see a wider range of outcomes for Corteva going forward. Our Exemplary Morningstar Capital Allocation Rating is intact. We view shares as undervalued, trading below our updated fair value.

Long view: Following the seeds divestiture, we expect Corteva to shift its portfolio even further toward patented and differentiated products as it will no longer be required to produce as many generic herbicides that were paired with a seed. New product launches should drive revenue growth and margin expansion over time.

Big picture: Corteva is fairly balanced by crop, geography, and, most importantly, active ingredient. The ingredient generates 11% of revenue, with the next largest at 7%. This reduces patent expiration risk.

Our Corteva fair value estimate is $20 per share. Our Corteva valuation reflects the spinoff of the Vylor seed business and is based solely on the remaining crop protection business. Our weighted average cost of capital is roughly 10%.

In 2026, we expect the crop protection businesses will see profit growth from a mix shift toward recently launched premium products and lower overhead costs. As Corteva sells a greater proportion of patented and differentiated crop protection products, we expect companywide EBITDA margin, including corporate overhead costs, to expand from 16% in 2025 to 20% by 2030.

Our base case assumes that Corteva pays a total of $640 million in PFAS-related litigation and cleanup expenses. This assumes the maximum liability under the agreement with Qnity, Corteva, and Chemours. This includes the $1.185 billion settlement in the class-action lawsuit with multiple US water districts that cover the majority of the US population and the $875 million settlement payment to the State of New Jersey. The $1.15 billion estimate includes the $193 million Corteva paid for its share of the US public water systems class-action settlement in 2023 and its share of the New Jersey settlement in 2026, which will occur over a 25-year period. Due to the unknown timing of PFAS payments, we assume the remainder of our liability assumption is paid over the next 15 years, which is in line with the 20-year agreement.

Although we forecast PFAS cleanup and litigation to cost $40 billion industrywide, we assume historical DuPont (which includes today's DuPont, Qnity, Corteva, and Chemours) faces a total of $6.5 billion in PFAS-related costs, with most expenses coming from former historical DuPont chemical plants. We assume DuPont, Qnity, and Corteva pay a combined $2 billion over the next 20 years based on their agreement with Chemours. Based on the DuPont, Qnity, and Corteva liability-sharing agreement, DuPont and Qnity pay a combined 71% of all future PFAS costs, with DuPont taking 39% and Qnity taking 32%, and Corteva pays 29%. This results in around $640 million in total litigation for Corteva.

Given the range of outcomes for Corteva, we created a downside scenario, which produces a fair value estimate of $10. In this scenario, we assume Corteva's new products fail to gain traction, leading to flat to declining revenue and EBITDA profit margins remain in the midteens, well below our base-case forecast, and slightly below 2025 levels on a pro forma basis. This scenario also assumes Corteva's PFAS-related liabilities soar to $2.4 billion as Chemours is unable to pay the escalating liabilities and files for bankruptcy, resulting in 29% of liabilities being transferred to Corteva.

We also created an upside scenario, which produces a fair value estimate of $30. In this scenario, we assume Corteva's new products gain market share, leading to revenue growth above our base case. We also assume operating EBITDA margin expands to 23%, roughly 300 basis points above our base-case forecast.

经济护城河

We award Corteva a narrow Morningstar Economic Moat Rating based on the intangible asset moat source as a result of its portfolio of patented crop chemicals. The company's patented products command pricing power as they protect farmer yields. Corteva’s intangible assets stem from the research and development spending required for the continual development of proprietary crop protection formulations. New product launches also allow Corteva to raise prices, as these are patent protected and help give farmers better results versus existing products in the crop protection market.

Corteva has a formidable portfolio, generating EBITDA margins in the high teens, in line with patented moaty peers and above generic-focused competitors. We estimate around 65% of sales come from patented and differentiated crop protection products, which command pricing power as farmers will pay up for the best products that fight difficult-to-kill weeds, insects, and fungi. These are typically priced 25% to 70% higher than off-patent products, which generates EBITDA margins in the 20%-40% range, versus 10% or lower for generics.

Corteva is also the global leader in biologicals, a natural crop protection product, which are premium priced and generate higher margins. We expect biologicals will rapidly take market share over the next 10-20 years over synthetic products, which will skew Corteva’s portfolio even further toward patented and differentiated products. While biologicals are more specialized based on region, they are effective at preventing difficult to control insects from damaging crops, with products also being developed to fight fungi and weeds.

Corteva's intangible assets are driven by the research and development spending required for new proprietary crop protection formulations. As patents expire and crop pests such as weeds, insects, and fungi develop resistance to current products, new chemical formulations must be developed. As a result, moaty businesses in this space must continue to invest in R&D or risk seeing pricing power quickly diminish as patents expire. Corteva invests 6%-7% of sales in new product development each year. This level of investment is in line with the crop protection level of investment from peers, including Bayer, Syngenta, BASF, and FMC, which gives us confidence that Corteva is investing enough to continue to develop new products and generate excess returns on invested capital.

We view average commercial patent life as key to determining the moat duration. We estimate the average commercial patent life is 10 years in the crop protection industry. As patents expire, generic competitors often move in immediately, causing prices and profits to fall. Crop protection producers must continually commercialize their R&D pipelines just to maintain their competitive position. Corteva’s portfolio is diversified, with the largest molecule generating just over 10% of total sales. This means Corteva should not see a large patent cliff and subsequent revenue and profit decline when its largest product goes off patent.

While we view Corteva as having strong pricing power, the 10-year average commercial patent life drives us to a narrow moat rating. All in all, we think Corteva is likely to outearn its cost of capital over at least the next 10 years.

多头观点

Management’s plan to separate the seed and crop protection businesses will create shareholder value as it will allow the crop protection company to develop its best products rather than focus on complementing the seed business.

Corteva's strong crop protection pipeline will drive profits and margins higher as the company expands its proportion of sales from premium products.

Corteva is the market leader in biological crop protection products. This positions Corteva to benefit from biologicals taking market share from synthetic crop protection products, driving faster revenue growth.

空头观点

Management's plan to separate the seed and crop protection businesses will hurt shareholder value as it will create dissynergies from operating two publicly traded companies instead of one.

Corteva's new crop protection products will face increased competition from other premium producers, limiting the profit growth opportunity.

Corteva’s three largest active ingredients make up 25% of sales. This creates some patent expiration risk, which could weigh on long-term revenue and profit growth.
