分析师点评

McCormick reported 1.9% organic sales growth on higher prices in its fiscal third quarter. This came alongside a 70-basis-point increase in adjusted gross margin to 17.7%, as cost savings offset inflation in inputs and freight costs.

Why it matters: Concerns are percolating around the volume trajectory for consumer products, given the strained consumer spending backdrop. We believe McCormick is working to counter this by pursuing efficiency initiatives to invest in new products and strengthen its distribution. Its flavor solutions segment (40% of sales) posted 3% underlying sales growth (1% volume, 2% price) and 120 basis points of adjusted operating margin gain to 17.7%. We attribute these solid marks to stepped-up innovation and efforts to diversify its customer base. We don't think that McCormick will back down from these efforts. We forecast 6%-7% of sales in aggregate to be directed to research, development, and marketing annually through fiscal 2035 in order to restore volume growth as consumer challenges ease.

The bottom line: Our $65 fair value estimate for wide-moat McCormick remains in place. The shares strike us as a bargain, trading around a 30% discount to our intrinsic valuation. On top of the consumer malaise, we think the market's reluctance is a byproduct of the risks related to McCormick's impending tie-up with Unilever's foods business, namely around the integration and financing. In our view, this fails to account for the brand strength and scale inherent in the combined business and the negotiating leverage with suppliers and retailers these afford. Taken together, this view underpins our long-term outlook for 3% sales growth and low-20s operating margin.

Coming up: After the deal's close, currently slated for mid-2027, Unilever and its shareholders will own 10% and 55% of shares outstanding, respectively. We think Unilever's ongoing stake should align incentives for a successful combination.

合理价值

We're holding the line on our $65 per share fair value estimate for McCormick, which incorporates our expectations around its planned $44.8 billion tie-up with Unilever's food brands. The deal would more than double McCormick's sales base by adding brands with low-20s operating margins, outpacing the midteens that McCormick's mix has historically posted. Management expects organic sales and adjusted earnings per share to grow at low-single-digit rates in fiscal 2026, with the deal slated to close in mid-2027. This outlook reflects persistent costs stemming from commodities and tariffs.

Consumer segment sales should ultimately prove resilient as households forgo away-from-home food consumption and instead dine at home amid unrelenting financial constraints. With its leading position in the spice aisle and the affordability of its fare (which McCormick has been touting in recent marketing placements), we expect it will continue to win on shelf, fortifying its dominant market share. To support this, we expect the firm to continue investing in research, development, and marketing to underscore the differentiation of its brand mix and enhance its entrenched retail relationships. As such, we forecast that McCormick will allocate around 7% of its yearly sales to its brands, on average, after the deal closes.

Concerns percolate around the impact of the growing adoption of GLP-1 drugs on the industry, but we believe McCormick is uniquely positioned to navigate these uncertain waters. While some consumers may increasingly shun center-store packaged food categories, McCormick's diversified portfolio should be an advantage. Its spices and seasonings cater to consumers who cook more produce and proteins at home. In addition, the flavor offerings it sells to other packaged food and beverage manufacturers should increase as these operators work to tailor their mix to the healthier fare this cohort demands. As such, we expect this trend to aid its long-term top-line growth trajectory, which we peg at 3% annually.

From a profit perspective, although management had delayed its enterprise resource planning upgrade due to the pandemic and subsequent supply chain disruptions, we still see the merits of this technology modernization effort (which is expected to cost $300 million-$350 million), as it's replacing a system that was put in place in the early 2000s, when the firm was half the size it is now. This is particularly critical given unrelenting input cost pressures (which management pegs at mid- to high-single-digit percentages in fiscal 2026) that are likely to constrain near-term margins. However, we anticipate the firm will pursue alternative sourcing plans, cost-saving initiatives, and surgical pricing to blunt the hit over time. As a byproduct of its tie-up with Unilever, management targets $600 million in cost savings, anchored in procurement, manufacturing, and back-office efficiencies, which strikes us as tangible. This underpins our forecast that operating margins to hover in the low 20s over much of the next 10 years.

经济护城河

We believe McCormick has built a wide Morningstar Economic Moat Rating through its intangible assets. McCormick’s leadership in the global flavor industry reinforces its brand edge through a commitment to leveraging its vast resources, dominance in low-priced private label, and scale. Further, we think the firm is a critical partner for retailers, which depend on McCormick to drive traffic and ensure consistent product availability. McCormick harnesses customer insights to deliver tailored branded flavor solutions to food manufacturers and foodservice customers, cultivating enduring partnerships. McCormick has generated 8.4% returns on invested capital (including goodwill) on average over the past 10 years, and we forecast excess returns on invested capital over the next 20 years (approximating 9% on average through fiscal 2035), above our 7% weighted average cost of capital estimate.

McCormick’s wide moat hinges on its dominance in the consumer segment, which is reflected in its control of one-fifth of the $17.5 billion global herbs and spices market, 4 times that of its closest branded peer. Beyond the leading brands in McCormick’s herb and spices portfolio—like its namesake, premium McCormick Gourmet and Gourmet Garden, value-oriented Lawry’s and Old Bay, and regional stars like Schwartz and Ducros—this brand edge is also evident in its sauces and condiments offerings (around one-fourth of consumer segment sales). More specifically, strategic acquisitions (Reckitt Benckiser's food brands, Cholula, and now Hellmann’s) and McCormick's robust retail partnerships have facilitated enhanced brand distribution (increasing Frank's RedHot global market share from 4.9% in 2017 to 6.4% in 2025). Further, the company has solidified its top North American share position in mustard, boasting a 36% share–over twice the size of its nearest rival, narrow-moat Kraft Heinz, at 14%.

We think its stout brand standing has translated into pricing power. For example, our channel checks show McCormick ground black pepper sells for $1.51 per ounce at Walmart, about 30% above a similar Great Value product, while McCormick-branded ground cinnamon has amassed a price tag of $1.19 per ounce, more than double a similar offering from Great Value. Taken together, McCormick has chalked up average price increases of around 3% and an approximate 1% increase in volume over the past six years. To support its market-share leadership and pricing power, we expect McCormick's brand investment to remain unwavering. McCormick has dedicated 1.5% of sales to research and development over the past five years, translating into about $100 million in 2025 (reflected in line extensions, refined flavor profiles, and diversified pack sizes). The firm also invests around 4% of its sales in marketing activities annually, equivalent to about $275 million in 2025. We don’t think the firm will back down from these investments, which drive our 7% annual expenditure projections.

Beyond its flagship branded offerings, McCormick's leading position in the global flavor industry has been underscored by its status as North America's top provider of private-label seasonings. We view this offering as critical to strengthening its standing with retailers by serving as a trusted supplier to retailers expanding their own store offerings. McCormick has long touted that this lower-priced fare is sourced from different regions than its branded products, ensuring a quality differential that supports a price premium. And despite lower margins for McCormick, our estimates suggest that private-label sales account for less than 10% of its consumer product revenue, or a mid-single-digit percentage of total sales. This proportion is too small to negatively affect consolidated margins.

We believe McCormick has also carved out an edge in flavor solutions, particularly in the flavors (56% of existing flavor solutions segment sales) and branded foodservice (about one-fifth of flavor solutions segment sales) subcategories, which are more insulated and value-added. In flavors, McCormick is a critical partner for consumer packaged goods manufacturers, delivering unique ingredients and tailor-made solutions rivals cannot match, thanks to patented technology. Further, unlike its competitive set, we believe McCormick’s ability to tap into consumer insights from its consumer products division and extensive retail collaborations supports its flavors business. We estimate this standing has culminated in a single-digit share of the $20 billion flavor and fragrance market for McCormick. Ultimately, we believe the flavor industry’s concentration, substantial investment requirements, demand for highly skilled labor, and stringent quality control standards make it difficult for new entrants to gain a foothold.

While we don't expect returns to be weighed down by the pending deal to acquire Unilever's food brands, we recognize that the combination of outsize leverage and integration risk could stymie profits if the combined firm cannot extract the intended synergies. In addition, if execution falters, its brand standing could be dented with retailers and consumers. However, we don't view this as a likely deterrent to excess returns given its prudent acquisition track record and its commitment to funneling investments behind its brands.

多头观点

We see the merits of McCormick's technology modernization effort (boosting future sales growth), as it replaces a system in place since the early 2000s, when the firm was less than half the size it is now.

If consumers' penchant for cooking at home (jump-started by the pandemic) persists as a means to stretch budgets, McCormick's sales could surpass our expectations.

McCormick is positioned to benefit from a growing appetite for healthy products as its

portfolio caters to health-conscious consumers in both its consumer and flavor solution segments.

空头观点

Cost pressures (particularly labor, transportation, and tariffs) have not yet subsided and could cap near-term profits.

The massive tie-up with Unilever's food brands stands to more than double McCormick's consolidated sales base, which brings with it significant integration risk.

McCormick's flavor solutions arm isn’t immune to the traffic and volume pressures that have been weighing on restaurants and other packaged food firms. These pressures could blunt segment sales and profits.
