分析师点评

Portland General Electric reached a settlement with the Oregon regulatory staff that would allow it to create a holding company structure, albeit with certain stipulations.

Why it matters: Portland General has been seeking regulatory approval for more than a year to form a holding company structure like most US utilities. Oregon regulators must approve the settlement. A holding company structure allows Portland General to finance investments outside its regulated utility, potentially allowing it to make acquisitions and growth investments that would boost shareholder returns. A key settlement concession is a requirement to maintain at least a 45% equity ratio at the holding company, in line with Portland General's regulated utility capital structure. This limits the shareholder benefits from using additional leverage.

The bottom line: We are reaffirming our $56 per share fair value estimate and narrow moat rating for PGE. PGE's stock trades at a 10% discount to our fair value estimate as of Aug. 19, making it one of the cheapest US utilities we cover. Management's $3.33-$3.53 full-year adjusted EPS guidance range is in line with our full-year estimate. We don't expect an immediate earnings impact if the holding company settlement is approved.

Big picture: We continue to forecast 7% annual earnings growth through 2029, at the high end of management's 5%-7% target, off a normalized 2024 earnings base. PGE's $1.9 billion cash acquisition of PacifiCorp's Washington utility could lift growth to 8% by 2028. We continue to expect Portland General to invest $7.6 billion in 2026-30 with upside if it wins renewable energy project bids early next year.

Coming up: We expect Oregon regulators to approve the holding company settlement by Aug. 25. Shareholders also must approve it at a special session following regulatory approval.

合理价值

Our fair value estimate is $56 per share after incorporating year-to-date financial and regulatory updates. The $1.9 billion proposed Washington utilities acquisition is too small to have a material impact on our valuation.

We forecast 7% average annual earnings growth in 2026-29, at the high end of management's 5%-7% earnings growth target, excluding the proposed acquisition. Growth should accelerate in 2027 and beyond based on PGE's growth investment opportunities.

We assume PGE will invest more than $8 billion in 2026-30, exceeding management's plan as of mid-2026. This includes more than $1 billion for the Biglow Optimization and Wheatridge Expansion solar and battery projects in 2026-27. It also includes a doubling of annual transmission investment.

Management has a history of raising its capital investment forecast as new projects present themselves and demand grows. We expect PGE will win at least $1 billion of projects as part of the 2025 clean energy request for proposal process.

Our discounted cash flow valuation incorporates a 5.8% weighted average cost of capital and a 7.1% cost of equity. This is lower than the 9% rate of return we expect investors will demand of a diversified equity portfolio, reflecting PGE's lower sensitivity to the economic cycle and lower degree of operating leverage.

经济护城河

Service territory monopolies and efficient scale advantages are the primary sources of economic moats for regulated utilities such as Portland General.

State and federal regulators grant PGE exclusive rights to charge customers rates that allow it to earn a fair return on and return of the capital it invests to build, operate, and maintain its system. In exchange for PGE's service territory monopoly, state and federal regulators set returns at levels that aim to minimize customer costs while offering fair returns for capital providers.

This implicit contract between regulators and capital providers should, on balance, allow PGE to earn above its cost of capital in the long run, though observable returns might vary in the short run based on electricity demand, investment cycles, operating costs, and access to financing. Recent regulatory decisions have been positive, and public policy supports most of PGE's investments.

The risk of future adverse regulatory decisions precludes PGE from earning a wide economic moat rating. However, the threat of material value destruction is low, and normalized returns exceed the cost of capital, leaving us comfortable assigning a narrow moat to PGE.

Oregon's power cost sharing regulation creates the potential for more volatile earned returns, but we don't think it's enough to change PGE's moat rating. Elements of the 2023 rate case settlement and participation in regional energy markets help reduce some of this short-term volatility.

多头观点

Management continues to find areas to invest in system upgrades, renewable energy, and energy storage with strong political and regulatory support.

PGE's capital investment budget includes many small projects that can be shifted around to maintain strong credit metrics.

Prior to the 2025 regulatory rate ruling, PGE had settled four consecutive general rate cases, a sign of a mostly constructive regulatory environment that will support growth investment.

空头观点

Fluctuations in purchased power costs could mean lower profits for shareholders, even with the company's power cost adjustment mechanism.

Upside for shareholders from PGE's planned growth investments depends on constructive regulatory outcomes.

As with all utilities, rising interest rates will lead to higher financing costs and make PGE's dividend less attractive to investors.
